These Terms and Condions ("Terms") govern your access to and use of the eZiTransact plaorm and related
services, owned and operated by eZaga Holdings (Pty) Ltd (Registraon No. 2017/149/149/07), trading as
eZiTransact ("eZiTransact", "we", "us", "our"). By using www.eZiTransact.co.za, the eZiTransact mobile or
desktop applicaons, or any related services (together, the "Plaorm"), you agree to these Terms.
1. Who We Are
eZi Transact is a nancial-technology plaorm providing secure payment acceptance, merchant, and cash-
management soluons. We enable merchants, suppliers, and independent distribuon centres to make and
receive payments, sell vouchers, manage cash, and access merchant-advance products in South Africa.
2. Denions
POS Device: means an eZi Transact Tap-to-Pay or point-of-sale device used to accept Visa, Mastercard,
SASSA, and other card payments. A machine and soware enabled with vending of Value-Added Services.
eXpress smart safe: cash-management device which counts, validates, and stores cash securely.
Transacon: means a nancial transacon processed through the eZi Transact system.
References to persons, genders, plurals, and statutory citaons follow South African law usage.
3. Introducon
eZi Transact provides an integrated ecosystem combining payment acceptance, merchant-advance, and cash-
management services. By registering or using the Plaorm, you agree to these Terms. eZi Transact may update
these Terms periodically; connued use constutes acceptance of the latest version.
4. Registraon and Accounts
To access the Plaorm, you must register and provide accurate informaon under our Know-Your-Customer
(KYC) and FICA policies. You are responsible for your login details and all acvity under your account. If your
credenals are compromised, nofy us immediately.
5. Trading Account and Transacons
Your eZi Transact Trading Account shows balances for payments and purchases within the ecosystem. Balances
are not bank deposits and do not earn interest. Transacons are nal once processed. Any applicable banking
fees (e.g., cash-deposit fees) will be passed through to you at cost.
6. Acquiring Relaonship
eZi Transact acts as a Payment Facilitator with ABSA Bank Limited as its acquiring partner. All card transacons
comply with Payment Associaon of South Africa (PASA), Visa, and Mastercard rules.
7. Network and Connecvity
You are responsible for internet or mobile connecvity. eZi Transact is not liable for downme, latency, or
network interrupons beyond our control.
8. Rules of Use
When using the Plaorm, you must not:
Violate any applicable law or regulaon, upload or distribute harmful or decepve material, Conduct or
enable fraud, money-laundering, or unauthorised transacons, reverse-engineer, copy, or misuse system
components and interfere with plaorm operaon or other users.
Violaon may result in immediate suspension or terminaon of access.
9. Devices and Ownership
Unless purchased outright at full retail price, eZi Transact retains ownership of issued devices. Inacve or
misused devices may be collected, and paral refunds applied per prevailing policy.
10. Merchant Advance Terms
eZi Transact may oer short-term advance or discounng products to qualifying merchants. Funds advanced
are repaid automacally from selement inows or as otherwise agreed. All advances are subject to
aordability assessment and compliance checks.
11. Ownership and Custody of Funds
The Client acknowledges and agrees that any funds deposited, transferred, or otherwise paid into an account
held in the name of eZaga Holdings T/A eZi Transact shall be deemed the property of eZi Transact upon receipt.
Such funds are received and managed by eZi Transact for the purposes of selement, transacon processing,
or oat management as part of eZi Transacts payment facilitaon services.
The Client further acknowledges that the remiance or disbursement of such funds to any third party
(including merchants, suppliers, or beneciaries) shall be made in accordance with the terms of the applicable
service agreement and subject to eZi Transacts internal reconciliaon and selement processes. eZi Transact
reserves the right to hold, manage, or disburse the funds in accordance with applicable laws, regulaons, and
contractual obligaons, and shall not be deemed a trustee or agent holding the funds on behalf of the Client
unless expressly stated otherwise in wring.
By accepng these Terms and Condions, the Client conrms that they have been informed and understand
that funds deposited into their eZi Transact designated accounts are under eZi Transacts control and ownership
unl selement or refund (if applicable) is completed.
14. Fees and Charges
Service, transacon, and selement fees are communicated at registraon or as updated from me to me. Ezi
Transact may adjust fees upon 30 days' noce. All applicable taxes are payable by the merchant.
15. Selement
Selement of transacons occurs per the merchant's nominated account and schedule. Funds may be delayed
due to reconciliaon, public holidays, or third-party banking processes. eZi Transact bears no liability for bank-
processing delays beyond its control.
16. eXpress Cash Management (Safe Services)
Where eZi Transact installs a smart safe at a merchant locaon: The merchant is responsible for physical
security and power supply. Deposits veried in the safe are credited to the merchant's eZi Transact account
aer the deposit is veried and captured digitally.
17. Data and Privacy
eZi Transact complies with the Protecon of Personal Informaon Act (POPIA). By using the Plaorm, you
consent to the lawful processing, storage, and transfer of personal and transaconal informaon. We use data
solely to operate, improve, and secure our systems. You may request access to or correcon of your personal
informaon by contacng support@eZiTransact.co.za
18. Intellectual Property
All intellectual property in and to the Plaorm, systems, and materials—including soware, logos, graphics,
and documentaon—remains the property of eZi Transact. You receive a limited, non-transferable licence to
use the Plaorm solely for authorised business purposes. You may not copy, reverse-engineer, or distribute any
poron of the Plaorm without wrien consent.
19. Condenality
Both pares agree to keep condenal all non-public business, operaonal, and nancial informaon obtained
during use of the Plaorm. Disclosure is permied only where required by law, court order, or regulatory
direcve.
20. Risk and Security
You are responsible for safeguarding devices, passwords, and physical access to terminals. Losses due to
negligence, the, or unauthorised use are borne by the merchant. eZi Transact employs industry-standard
encrypon and authencaon to secure data transmissions.
21. Limitaon of Liability
eZi Transact will not be liable for any indirect, consequenal, special, or incidental loss or damage arising from
use of the Plaorm. Our total liability for any claim shall not exceed the value of the transacon that gave rise
to the claim.
22. Suspension and Terminaon
eZi Transact may suspend or terminate access without noce where: Fraud, abuse, or non-compliance is
detected; Required by regulatory authories or network partners; or Account acvity has been inacve for
more than 90 days. Merchants may terminate their parcipaon by giving 30 days' wrien noce and seling
any outstanding balances or equipment obligaons.
23. Amendments
eZi Transact may modify these Terms at any me by publishing the updated version on www.ezitransact.co.za
Connued use of the Plaorm aer noce of amendment constutes acceptance of the revised Terms.
24. Governing Law and Dispute Resoluon
These Terms are governed by the laws of the Republic of South Africa. Disputes shall be resolved amicably,
failing which they fall under the exclusive jurisdicon of the High Court of South Africa. If any provision of these
Terms is held invalid, the remaining provisions remain enforceable.
